Terms and Conditions

Effective Date: 11-01-2025


1. Introduction

Xoegan Technologies Private Limited, headquartered at Newari, Pachbhinda, Taraiya, Saran 841424 Bihar, India ("Xoegan", "we", "us", "our") offers IT services and consultation solutions to clients across various regions, including domestic and international. These Terms and Conditions ("Agreement") govern the use of our services and products.


Domestic Clients: Clients within India

International Clients: Clients outside India


By engaging with our services, you ("Client") agree to comply with these terms.


2. Services Provided

Xoegan Technologies provides the following services:


IT Consultation

Software Development

Web Development and Hosting

Cloud Solutions

Network Setup and Maintenance

Digital Transformation Consulting

Data Analytics and Business Intelligence

IT Support and Troubleshooting

The scope of each project will be defined in a separate statement of work (SOW) or contract agreed upon by both parties.


3. Domestic Clients Terms

3.1 Payment Terms

Currency: All payments will be made in Indian Rupees (INR).

Billing: Payments are due as per the milestones specified in the contract or as agreed by both parties.

Late Payment: A late fee of 2% per month will be applied to any outstanding balance.

3.2 Service Delivery and Support

Service Availability: Xoegan will provide services during normal business hours (9:00 AM to 6:00 PM IST, Monday to Friday), excluding public holidays.

Support: Clients will have access to support via email or phone during business hours for any service-related issues.

3.3 Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information shared during the project.

3.4 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes will be resolved in the courts of Bihar, India.

3.5 Termination

Either party may terminate the Agreement with 30 days’ notice in writing. Xoegan may terminate the contract immediately if the client fails to meet payment obligations or breaches any contractual terms.

4. International Clients Terms

4.1 Payment Terms

Currency: All payments will be made in USD or as mutually agreed between both parties.

Billing: Payments must be made according to the milestones specified in the SOW or contract.

Late Payment: A late fee of 2% per month will be applied to any outstanding balance.

4.2 Service Delivery and Support

Service Availability: Xoegan will provide services according to the specified hours in the agreement, with adjusted times for the Client’s time zone.

Support: 24/7 support availability via email, phone, or online ticketing system depending on the service agreement.

4.3 Confidentiality

Both parties agree to maintain confidentiality for all proprietary and sensitive information shared throughout the engagement.

4.4 Governing Law

This Agreement shall be governed by the laws of India. In case of a dispute, the matter shall be settled in arbitration as per Indian Arbitration laws, with proceedings to be held in Bihar, India.

4.5 Termination

Either party may terminate the Agreement with 30 days’ notice. Immediate termination may occur if the client fails to meet payment terms or breaches the terms of the agreement.

4.6 Export Control

The client agrees to comply with all applicable export control laws and regulations concerning the use of our services and products.

4.7 Taxes and Duties

The Client shall be responsible for all applicable taxes, duties, or other governmental charges imposed on the services in their respective country.

5. General Terms

5.1 Amendments

Xoegan reserves the right to amend these Terms and Conditions at any time by providing notice to the Client. Amendments will take effect upon posting to our website or as communicated directly.

5.2 Force Majeure

Xoegan shall not be liable for any delay or failure in performance caused by circumstances beyond its control, including but not limited to natural disasters, war, labor strikes, and pandemics.

5.3 Intellectual Property

Any intellectual property developed during the provision of services, including but not limited to software, algorithms, or proprietary tools, remains the sole property of Xoegan unless otherwise agreed upon in the contract.

5.4 Liability

Xoegan will not be liable for any indirect, incidental, or consequential damages arising from the use of its services. Our liability is limited to the amount paid by the client for the service provided.
